This document governs your use of the website halppy.com and the services provided through it.
1. Acceptance of Terms
The website halppy.com (the “Platform”) is owned and operated by Exfresh Retail Private Limited (hereinafter referred to as “Halppy” or “We”), a company incorporated under the laws of India, having its CIN: U47599GJ2024PTC148685.
By accessing or using the Platform, you, the User, unconditionally accept and agree to be bound by these Terms & Conditions (“Terms”), the Privacy Policy, the Cancellation & Refund Policy, and the Delivery & Fulfillment Policy. If you do not agree to these Terms, you may not use the Platform.
2. Eligibility and User Account
Use of the Platform is available only to persons who can form legally binding contracts under the Indian Contract Act, 1872.
The User must be 18 years of age or older. If you are a minor, you may use the Platform only under the supervision and prior consent of a parent or legal guardian.
The User is responsible for maintaining the confidentiality of their account login details and is responsible for all activities that occur under their account.
3. Role of Halppy: Intermediary, Aggregator, and Project Manager
Nature of Service: Halppy acts as an intermediary, aggregator, and service manager, facilitating three distinct types of services: Subscription Plans, Custom Projects, and Concierge Desk Services.
Contractual Relationship:
- For Subscription Services (Basic, Silver, Gold, Diamond): The contract for service execution is between the User and the Service Provider. Halppy’s role is limited to connecting parties and collecting fees.
- For Custom Projects and Concierge Services: The User enters into a contractual agreement directly with Halppy (governed by a formal SOW/SLA), where Halppy acts as the Project Manager or Relationship Manager, engaging third-party Service Providers on the User’s behalf.
Limitation of Liability: Halppy does not employ the Service Providers and is not responsible for the direct provision, quality, safety, or legality of services performed by third parties. Liability for service quality, defects, or negligence rests primarily with the Service Provider, except where Halppy assumes specific liability as defined in a signed SOW or SLA.
4. Service Models and Payments (Updated Section)
4.1 Subscription Plans (Basic, Silver, Gold, Diamond)
These plans are subject to recurring monthly or annual billing via Razorpay Subscriptions or similar auto-debit mechanisms.
- The Subscription Fee grants the User access to plan-specific benefits (e.g., free minutes, task limits).
- Usage exceeding the plan’s defined limits is subject to Overage Fees, which will be clearly communicated and billed separately.
- Subscription cancellations are governed by the Cancellation & Refund Policy.
4.2 Custom Projects & Enterprise Services
These services are high-value, quoted, and subject to a binding agreement:
- Statement of Work (SOW): All Custom Projects require a formal SOW signed by both the User and Halppy, which defines the scope, timeline, deliverables, and total cost.
- Project Management Fee (PM Fee): A mandatory, non-refundable PM Fee, calculated as a percentage of the total project value, is charged by Halppy for oversight, quality assurance, and project management services.
- Milestone Payments and Escrow: Project funds are managed through a Milestone Payment (Escrow) system. Funds are released to the Service Provider only upon the User’s formal approval of the successful completion of the corresponding milestone defined in the SOW. The User acknowledges that funds paid for unapproved milestones shall remain secured by Halppy.
4.3 Concierge Desk & Lifestyle Management (Retainer Services)
These services are high-touch, dedicated, and retainer-based:
- Retainer Fee: The Concierge Desk operates solely on a recurring Retainer Fee (e.g., Associate, Director, or Chairman Level), paid monthly or annually in advance via a pre-authorized payment method (e.g., Razorpay Subscriptions). Payment of the Retainer Fee grants the User access to a dedicated Relationship Manager and the Halppy network.
- Service Level Agreement (SLA): The scope of management services, communication protocols, and response times are defined by a formal SLA executed between the User and Halppy.
- Third-Party Costs: The Retainer Fee covers Halppy’s management and sourcing time but does not include direct Third-Party Costs (travel, accommodation, purchased goods, direct contractor labor). These costs shall be billed transparently and passed directly to the User.
- Commitment: The User confirms that all requests submitted under the Concierge Desk are Legal, Ethical, and Moral.
5. Booking and Payment
All bookings are confirmed upon successful payment. Halppy reserves the right to cancel any booking if the payment fails or is not received.
Payments are processed through secure, RBI-compliant payment gateways, including Razorpay. By making a payment, you agree to the terms and conditions of the respective payment gateway.
All transactions are subject to the pricing and service descriptions listed on the Platform at the time of booking.
6. Cancellation, Refund, and Service Dispute
Cancellation and refund requests are strictly governed by the Cancellation & Refund Policy published separately on the Platform.
For Custom Projects: Refunds are governed by the specific cancellation clause within the signed SOW, typically covering only the value of unspent or uncommenced milestones, minus any PM Fee or liquidated damages.
For Concierge Services: Retainer Fees are non-refundable once the service period has commenced. Cancellation of the recurring payment must be requested in writing at least 30 days prior to the next billing cycle.
In case of a dispute regarding the quality or deficiency of the service provided, the User must inform Halppy immediately. Halppy will act as a mediator to resolve the dispute, but the final liability for service quality rests with the Service Provider, except as detailed in a valid SOW or SLA with Halppy.
7. Intellectual Property
All content, logos, designs, and software on the Platform are the property of Exfresh Retail Private Limited and are protected by applicable intellectual property laws. You may not use, copy, or distribute any part of the Platform content without prior written consent.
8. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of India.
All disputes arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the competent Courts in Surat, Gujarat, India.
